These terms govern access to the SmartService 360 website and application. SmartService 360 is the service name; the contracting legal entity, commercial terms, and any jurisdiction-specific provisions must be completed in the applicable order form or service agreement before this draft is published.
1. Agreement and service
By creating an account, accepting an order form, or using SmartService, you agree to these terms and the documents incorporated into them. SmartService provides business software for service operations, customers, devices, inventory, purchasing, sales, invoices, payments, notifications, reporting, and related workspace administration. If an order form or signed agreement conflicts with these terms, the signed document controls for that customer.
2. Accounts and eligibility
You must have authority to bind the business you represent and provide accurate account information. Account or workspace requests may require approval. You are responsible for keeping credentials confidential, using individual accounts, promptly updating information, and notifying us of suspected unauthorized access.
3. Workspace administration
Workspace administrators control team membership, roles, permissions, settings, templates, integrations, and customer-facing content. The customer is responsible for its users' activity, assigning only necessary access, removing access when it is no longer needed, and ensuring its use of the service follows these terms and applicable law.
4. Acceptable use
You may use SmartService only for lawful business purposes. You must not access another workspace without permission; interfere with security or service operation; probe, scrape, overload, reverse engineer, or circumvent access controls except where law expressly permits; upload malware or unlawful content; misrepresent identity; violate intellectual property, privacy, consumer, communications, tax, or other rights; or use the service to harm others.
5. Customer data
The customer retains its rights in data and content submitted to its workspace. The customer grants the provider the limited rights needed to host, process, transmit, back up, and otherwise handle that data to provide and secure the service. The customer confirms that it has the necessary rights and lawful basis for customer, employee, supplier, device, communications, and transaction data it enters, imports, tracks, or sends through SmartService.
6. Integrations and communications
Some functions depend on configured third parties, such as email or SMS delivery, document extraction (which may use OCR or AI providers), exchange rates, hosting, and public tracking links. Availability and provider terms may vary. The customer is responsible for lawful message content, recipient permissions, integration credentials, usage charges imposed by third parties, and reviewing the data shared when enabling an optional provider.
7. Automated output and business decisions
Imports, document extraction, matching suggestions, calculations, exchange rates, tax fields, reports, and other automated output may be incomplete or inaccurate. Authorized users must review source documents and results before relying on them. SmartService is an operational tool and does not provide accounting, tax, legal, financial, or professional advice.
8. Fees and payment
If paid access is ordered, fees, currency, taxes, billing cycle, renewal, usage limits, payment dates, and any refund or cancellation rights are those stated in the order form or service agreement. Unless an approved written agreement says otherwise, the website does not create a price, trial period, refund promise, or subscription commitment.
9. Intellectual property
The provider and its licensors retain all rights in SmartService, including the software, design, documentation, branding, and service improvements. These terms grant only a limited, non-exclusive, non-transferable right to use the service during the authorized term. Feedback may be used to improve the service without an obligation to compensate the person providing it.
10. Availability and support
We may maintain, update, secure, or change the service and may discontinue a feature when reasonably necessary. Support channels and targets are described in the applicable agreement or support policy. No uptime guarantee, service credit, response time, backup commitment, or data recovery promise applies unless it is expressly stated in an approved written agreement.
11. Privacy and security
Personal data is handled as described in the Privacy Policy and, where applicable, a data processing agreement. Both parties must use reasonable safeguards. Customers must configure permissions responsibly, protect credentials and exported data, and notify us promptly of suspected security incidents involving the service.
12. Suspension and termination
Access may be suspended to address security risks, unlawful use, material breach, non-payment under an applicable agreement, or harm to the service or others. Either party may terminate as allowed by the order form or service agreement. After termination, access, export, retention, and deletion follow the applicable agreement, data processing terms, legal obligations, and backup lifecycle.
13. Disclaimers, liability, and disputes
To the extent permitted by law, the service is provided without warranties not expressly included in an approved agreement, and neither party is liable for losses that applicable law permits it to exclude. Any agreed warranty, indemnity, liability limit, governing law, court, or dispute process must be stated in the applicable signed agreement; mandatory rights cannot be excluded. Questions about these terms may be sent to info@smartservice360.com.
